Future new business opportunities are often viewed primarily through the lens of past successes. As companies come to rely on a single mode of growthbuilding, buying, or allyingthey risk overlooking more optimal alternatives. Generating a robust set of modes-of-entry considerations often enables companies to lower costs and improve new business performance.

Most companies rely on rules of thumb to guide build, buy, or ally decisions
rather than maintain formal decision rules. Peak Strategy has developed a
composite list of over 45 questions typically asked as companies consider
the optimal mode of entry. The relative weight of each Buy, Build, or Ally
question ultimately depends on the strategic priorities of the company at
a given point in time. Typical priorities include:

- Increase Market Share   - Customer Relationship Enhancement
- Product Extensions     - International Expansion
- Product Innovations     - Value Chain Migration
- Scale and Efficiencies   - Expand to (Horizontal) Adjacencies

This tool presents a systematic approach for evaluating different methods of exploiting new market opportunities and identifying potential acquisition or partner candidates.

Acquisition or partner candidates are scored against the following criteria:
1. Overall Company Fitincludes management team, customer base, labor relations, and share of total market.
2. Geographic Coverageincludes domestic and international presence
3. Service/Product Offeringsincludes criteria selected by the user
4. Likelihood of Sale
Modes of Entry are scored against the following criteria:
1. Strategic Fitincludes considerations such as cultural fit, ability to apply brand, and integration complexity
2. Investment Requirementsincludes acquisition, development, and growth spending requirements
3. Financial Impactincludes near-term revenue impact, financing availability, and likelihood of return on investment
4. Riskincludes potential risks to deal success, management team retention, and synergy capture

The tool then uses scores from three assessment exercises to recommend the top combinations of deal candidates and modes of entry.

Sample Customer Comments

This was a great find for us - we were able to walk the client through each step in the process and the tools were well thought out. Scott Kemp, Venture Capital Enterprises

We bought this because we were looking at potentially buying a competitor.  The pre acquisitions tools were a great help at focusing our decision making process.  The software helped us solidify whether or not we were looking at the right target and were ready as an organization to acquire another company - which is a whole other question.  Kelly Seimore, Print Masters

There are less tools out there then I expected concerning M&A, I found that these tools were professionally developed and not only covered the transaction cycle in detail, the output was also visually appealing.  Frank Septor, Command Performance, LLC

Our company has never acquired another company and I was considered the "expert" don't ask me why I have never gone through the M&A process either.  These tools made me look like a professional because I had all of the documents and tools I needed to complete the transaction.  Thanks.  Carmine March
